MEMO RECORD OF SHOWING

PROPOSED BUYER’S SIGNED RETURN TO BLUE RIDGE BROKERAGE OF THIS MEMO WILL CONSTITUTE ACCEPTANCE OF TERMS AND CONDITIONS OF SUCH AND WILL BIND HIM/HER TO THE AGREEMENT BELOW.  THIS IS A LEGAL DOCUMENT.

I/we, the undersigned prospective purchaser(s), hereby acknowledge receipt of confidential information about a business / businesses represented by Blue Ridge Brokerage.  I/we acknowledge that I/we will not contact the owner or employees of this business/businesses, without permission from the Broker.  This agreement applies to all businesses disclosed to the prospective purchaser(s), represented by this firm, Blue Ridge Brokerage.  In consideration of your having provided the above information, I/we hereby agree:  

• Not to reproduce or divulge such information to others, except to secure their advice and counsel, in such case I/we agree to obtain their consent to maintain such confidentiality, and
• To conduct all further inquiries into the above opportunities exclusively through the office of the Broker, which I/we acknowledge to be the agency first providing such information to me.  I/we understand that Broker has entered into an agreement or contract with the owner of their authorized agent to represent the business which provides for commission payment to Broker. 

1. 1. Receiving Party shall not, without prior written approval of Disclosing Party, use for Receiving Party's own benefit, publish, copy, or otherwise disclose to others, or permit the use by others for their benefit or to the detriment of Disclosing Party, any Confidential Information. Receiving Party shall return to Disclosing Party any and all records, notes, and other written, printed, or tangible materials in its possession pertaining to Confidential Information immediately if offer to purchase is terminated by Receiving party or Disclosing Party requests it in writing.

• You also acknowledge that I/we/Blue Ridge Brokerage represent the seller.

This form is the sole property of Blue Ridge Brokerage, LLC and may not be reproduced for other party use under penalty of law.
